1. Introduction

These Terms and Conditions govern your participation in the International Agribusiness and Manufacturing Fair USA – AFRICA (“the Fair”), organized by the International Agribusiness Initiative (“IAI”). By registering for and participating in the Fair, you, your company, or organization (collectively, “Participants”), agree to comply with these Terms and Conditions.

2. Eligibility

  • Participation is open to government representatives, businesses, investors, entrepreneurs, manufacturers, and professionals engaged in or interested in agribusiness, manufacturing, and trade opportunities between the USA and Africa.
  • All Participants must be at least 19 years of age.
  • IAI reserves the right to approve or deny participation based on eligibility criteria.

3. Registration and Payment

  • Participants must complete the official registration form and submit fees by the designated deadline.
  • Fees cover administrative costs, access to seminars, networking sessions, and program materials. Fees also include breakfast and lunch during the fair as well as the Gala Dinner.
  • Transportation will be provided only from the designated hotels to the event center and during the sites visits.
  • Fees exclude travel, lodging, meals, insurance, visas, and personal expenses unless explicitly stated.
  • Payments are non-refundable except if IAI cancels the Fair.

4. Insurance Requirements

  • Participants are encouraged to have their own insurance.
  • Participants are solely responsible for shipping, customs duties, handling, and removal of exhibited goods/materials.

5. Liability and Indemnification

  • Participants assume all risks related to Fair participation. IAI is not liable for:
    • a) Personal injury, illness, death, or property damage/theft (including from fire, disasters, or political unrest);
    • b) Loss/damage to displays, products, or materials;
    • c) Errors in promotional materials or matchmaking.
  • Participants agree to indemnify IAI against claims arising from their actions or negligence.

6. Payment and Refund Policy

  • Payment: The participation fee for the fair is $500 per participant and must be paid in full by September 1st.
  • The table reservation fee for exhibitors is $100 non-refundable.
  • Refunds:
    • The registration fee is non-refundable, unless a US Visa has been denied to the applicant. In this case, IAI will refund 50% of the registration fee within 3 weeks of providing a denial letter.
    • Cancellation fees are liquidated damages due to IAI’s pre-event commitments.

7. Event Cancellation & Changes

  • Cancellation by IAI: No liability for Participant costs. Refunds (if any) issued at IAI’s discretion.
  • Schedule Changes: IAI may modify the Fair itinerary (e.g., seminars, exhibits) due to logistical needs or unforeseen circumstances. No refunds for changes.

8. Force Majeure

IAI is not liable for failures due to: natural disasters, pandemics, government restrictions, terrorism, or transportation disruptions. IAI may cancel/modify the Fair, with no Participant compensation.

9. Travel and Visas

Participants are responsible for passports, visas, vaccinations, and compliance with entry/exit requirements. IAI provides general guidance but does not guarantee visa approvals.

Participants are required to return to their country of departure at the end of the International Agribusiness and Manufacturing Fair and to comply with the US Immigration Laws.

10. Business Outcomes

IAI facilitates networking, exhibitions, and B2B opportunities but does not guarantee business deals, investments, or partnerships.

11. Intellectual Property

Participants affirm ownership/rights to materials presented at the Fair. IAI is not responsible for third-party IP disputes.

12. Firearms and Conduct

  • Firearms: Strictly prohibited. Violators face immediate dismissal without refund and legal consequences.
  • Conduct: Unprofessional, unlawful, or disruptive behavior may result in removal and forfeiture of fees.

13. Media and Publicity

IAI may use Participants’ likenesses in photos/videos for promotional purposes without compensation.

14. Governing Law & Disputes

  • Governed by the laws of the State of Nebraska, USA.
  • Disputes resolved via negotiation or binding arbitration under AAA rules.

15. Amendments

IAI reserves the right to update these Terms at any time.
